"Client", "you", and "your" refer to the individual or business engaging with our services.

Specific deliverables are outlined in individual client agreements.
04No Guarantee of Revenue
While CodeWeb works to improve lead flow, appointment generation, and business growth, we do not guarantee:
- Revenue
- Sales
- Closed deals
- Profitability
- Business growth outcomes
Business performance depends on numerous factors outside our control, including but not limited to:
- Pricing
- Sales ability
- Market conditions
- Competition
- Customer demand
- Service quality
- Lead response time
Any examples, projections, case studies, or testimonials shown on our website are provided for illustrative purposes only and do not guarantee future results.
05Lead Generation Disclaimer
CodeWeb may generate leads, enquiries, appointments, or opportunities. However:
- We do not guarantee that every lead will convert into a paying customer.
- We do not guarantee lead quality beyond reasonable targeting efforts.
- We are not responsible for client sales performance.
- We are not responsible for leads that are not contacted or followed up by the client.
06Advertising Spend
Advertising spend is separate from CodeWeb service fees. Advertising budgets are paid directly by the client to the advertising platform, including but not limited to:
- Meta (Facebook & Instagram)
- Other advertising platforms
CodeWeb does not own, control, or guarantee advertising platform performance. Advertising costs are non-refundable.
07Client Responsibilities
Clients agree to:
- Provide accurate information
- Respond to communications promptly
- Maintain access to required accounts
- Attend scheduled meetings when required
- Follow reasonable recommendations
- Contact leads promptly
- Deliver services professionally
Failure to do so may negatively impact results.
08Guarantee Policy
Where a specific guarantee is offered, the guarantee is subject to the client:
- Following all onboarding requirements
- Maintaining agreed advertising budgets
- Remaining active throughout the campaign period
- Providing necessary business information
- Responding to enquiries and opportunities in a timely manner
CodeWeb reserves the right to determine whether guarantee conditions have been satisfied. Guarantees apply only as specifically stated in writing. Guarantees do not constitute guarantees of revenue, profit, or sales.
09Payment Terms
Unless otherwise agreed in writing:
- All fees are payable in advance.
- Monthly services are billed monthly.
- Late payments may result in service suspension.
- Failure to pay may result in account termination.
- All payments are non-refundable unless otherwise required by law.
10Intellectual Property
All website designs, marketing materials, systems, content, software configurations, strategies, graphics, branding elements, and intellectual property created by CodeWeb remain the property of CodeWeb unless otherwise agreed in writing.
Clients receive a license to use approved deliverables for business purposes.
11Confidentiality
Both parties agree to keep confidential information private. Confidential information includes:
- Business data
- Marketing strategies
- Customer information
- Financial information
- Internal systems
Neither party shall disclose confidential information without written consent unless required by law.
12Limitation of Liability
To the maximum extent permitted by law, CodeWeb shall not be liable for:
- Loss of profits
- Loss of revenue
- Business interruption
- Loss of opportunities
- Indirect damages
- Consequential damages
Our maximum liability shall not exceed the amount paid by the client to CodeWeb during the preceding three months.
13Third-Party Platforms
CodeWeb may use third-party software, platforms, and services. These may include:
- Meta
- GoHighLevel
- CRM systems
- Email platforms
- Automation tools
CodeWeb is not responsible for outages, policy changes, account restrictions, suspensions, or issues caused by third-party providers.
14Termination
Either party may terminate services in accordance with any written agreement between the parties. Outstanding fees remain payable upon termination.
CodeWeb reserves the right to suspend or terminate services if a client violates these Terms & Conditions.
15Website Use
Users agree not to:
- Attempt unauthorized access
- Disrupt website functionality
- Upload malicious software
- Misrepresent information
- Use the website for unlawful purposes
CodeWeb reserves the right to restrict access where necessary.
16Privacy
Your use of our website is also governed by our Privacy Policy. By using our services, you consent to the collection and processing of information as described in that policy.
17Changes to Terms
CodeWeb reserves the right to modify these Terms & Conditions at any time. Updated terms will become effective upon publication on this website. Continued use of our services constitutes acceptance of updated terms.
